Before downloading the Intel® Itanium® Processor Family System Abstraction Layer Specification Update, you must accept the following agreement.

Intel Corporation ("Licensor" and "Administrator") will allow you to copy the Intel® Itanium® Processor Family System Abstraction Layer Specification Update (the "Specification Update") found at the URL http://developer.intel.com/design/itanium/downloads/252489.htm (the "Site") on the condition that you accept the terms and conditions below ("Agreement").

IMPORTANT - READ BEFORE DOWNLOADING OR COPYING. BY SELECTING THE "I ACCEPT" BUTTON BELOW, OR BY DOWNLOADING OR COPYING THE SPECIFICATION UPDATE, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS STATED IN THIS AGREEMENT. IF YOU SELECT "I DO NOT ACCEPT," THE DOWNLOAD PROCESS WILL NOT PROCEED. DO NOT SELECT "I ACCEPT," DOWNLOAD OR COPY THIS SPECIFICATION UPDATE UNTIL YOU HAVE CAREFULLY READ, UNDERSTOOD, AND AGREED TO THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT WISH TO AGREE TO THESE TERMS AND CONDITIONS DO NOT DOWNLOAD OR COPY THE SPECIFICATION UPDATE.

LICENSE. You may download the Specification Update from the Site and make copies of the Specification Update subject to these conditions:

1. You may not modify, rent, or sell all or any part of the Specification Update except as provided in this Agreement, and you agree to use reasonable efforts to prevent such actions for any copy of the Specification Update that you have received subject to this Agreement.
2. You may make copies of the Specification Update for your own use for purposes of studying and understanding the Specification Update and to assist you in creating products that are compatible with the Specification Update.
3. Subject to the above, you may make back-up copies of the Specification Update for your own use.

NO OTHER LICENSE. Implementations developed using the information provided in the Specification Update may infringe the intellectual property rights of various parties including the parties involved in the development of the Specification Update. Except as expressly set forth in this Agreement, no license or right is granted to you, by implication, estoppel, or otherwise, under any patents, copyrights, maskworks, trade secrets, or other intellectual property by virtue of entering into this Agreement, downloading the Specification Update, using the Specification Update, or building products complying with the Specification Update.

OWNERSHIP OF SPECIFICATION UPDATE AND COPYRIGHTS. Title to all copies of the Specification Update remains with Licensor. The Specification Update is copyrighted and protected by the laws of the United States and other countries, and international treaty provisions. You may not remove any copyright or other proprietary rights notices from the Specification Update. Licensor may make changes to the Specification Update, or to items referenced therein, at any time without notice. Licensor is not obligated to support or update the Specification Update.

CONTRIBUTIONS. You may provide Licensor with contributions and suggestions relating to the Specification Update, but only subject to the terms of the Conribution Agreement, a copy of which is available on request. Licensor will NOT accept contributions from You unless you agree to, sign, and return the Contribution Agreement to Licensee.

EXCLUSION OF WARRANTIES. THE SPECIFICATION UPDATE IS PROVIDED "AS IS" WITH NO WARRANTIES WHATSOEVER, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, NONINFRINGEMENT, FITNESS FOR ANY PARTICULAR PURPOSE, OR ANY WARRANTY ARISING OUT OF ANY PROPOSAL, SPECIFICATION UPDATE OR SAMPLE. Licensor disclaims all liability, direct or indirect, for any claim relating to the Specification Update or the use of information therein including without limitation claims arising from produt liability, personal injury, death, or infringement of any proprietary rights.

Implementations developed using the information provided in this Specification Update may infringe the patent rights of various parties including the parties involved in the development of this Specification Update. No license, express or implied, by estoppel or otherwise, to any intellectual property rights (including without limitation rights under any party's patents) are granted herein.

THE SPECIFICATION UPDATE IS NOT LICENSED FOR USE BY, OR INTENDED TO DIRECT OR INSTRUCT, ANY PARTY IN THE DEVELOPMENT OF ANY IMPLEMENTATION WHERE FAILURE OF THE IMPLEMENTATION COULD CREATE A SITUATION WHERE PERSONAL INJURY OR DEATH MAY OCCUR.

IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY LOSS OF PROFITS, LOSS OF USE, DIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, REGARDLESS OF WHETHER LICENSOR HAS ADVANCE NOTICE OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in this Agreement shall be construed as a sale nor an offer for sale or license of any product.

TERMINATION OF THIS AGREEMENT. You may terminate this Agreement at any time upon written notice. If you breach this Agreement, Licensor may terminate this Agreement at any time upon written notice. Upon termination, you will immediately destroy the Specification Update or return all copies of the Specification Update to the Administrator and certify in writing to the Administrator that all your copies of the Specification Update have been returned or destroyed.

APPLICABLE LAWS. Claims arising under this Agreement shall be governed by the laws of Delaware, without regard to principles of conflict of laws. You may not export the Specification Update in violation of applicable export laws and regulations.

GOVERNMENT RESTRICTED RIGHTS. The Specification Update and documentation are provided with "RESTRICTED RIGHTS." Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR52.227-14 and DFAR252.227-7013, et seq. Use of the Specification Update by the Government constitutes acknowledgement of Licensor's proprietary rights in them. Contractor or manufacturer is Licensor as identified on the Site.
